TERMS OF SERVICE

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the Base Change platform, including the website at basechange.app and the Change Success Assessment tool (collectively, the "Service"), operated by Change at Hand, LLC ("we," "our," or "us").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Base Change is a change readiness assessment platform that provides:

• One-time Change Success Assessments ($9.99 Guest Access)
• Subscription plans with expanded features including PDF reports, AI-powered action plans, and ongoing assessments (Self-Service and + Advisory tiers)
• White-label and co-branding options for consulting firms (Base Change Partner)

The Service quantifies organizational change readiness across six weighted dimensions and produces RAG-scored results.

3. Accounts and Registration

To use the Service beyond Guest Access, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. Guest Access ($9.99)

Guest Access provides a single Change Success Assessment with on-screen results. Guest Access does not include PDF report exports, AI-powered action plans, historical assessment tracking, or ongoing access beyond the single assessment. Guest Access is a one-time purchase and is non-refundable once the assessment is completed.

6. Refund Policy

• Guest Access: Non-refundable once the assessment is completed.
• Monthly subscriptions: No refund for the current billing period after payment is processed. Cancellation prevents future charges.
• Annual subscriptions: Refundable on a pro-rated basis within the first 30 days. After 30 days, non-refundable.
• Partner arrangements: Subject to the terms of the individual partnership agreement.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to access, tamper with, or disrupt our systems or another user's data
• Reverse engineer, decompile, or disassemble the Service
• Copy, modify, or distribute our content without authorization
• Use the Service to transmit viruses, malware, or harmful code
• Create multiple accounts to circumvent usage limits
• Resell or sublicense the Service without authorization (except under a Partner agreement)

8. Intellectual Property

The Service, including the assessment methodology, scoring algorithms, branding, and content, is owned by Change at Hand, LLC and protected by intellectual property laws. Assessment results generated by the Service are owned by the account holder.

White-label and Partner clients receive a license to use the Service under their own brand, subject to their partnership agreement. The underlying methodology and technology remain the property of Change at Hand, LLC.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure; that assessment results will be accurate, complete, or applicable to your specific situation; or that assessment results should replace professional change management judgment. Assessment results are informational tools to guide decision-making, not professional consulting advice.

10. Limitation of Liability

To the maximum extent permitted by law, Change at Hand, LLC shall not be liable for:

• Indirect, incidental, special, or consequential damages
• Loss of profits, data, or business opportunities
• Any damages exceeding the amount you paid for the Service in the preceding 12 months

This limitation applies regardless of the legal theory asserted.

11. Indemnification

You agree to indemnify and hold harmless Change at Hand, LLC and its affiliates from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may terminate your account at any time. Upon termination:

• Your right to use the Service ceases immediately
• Assessment data may be deleted after 30 days unless otherwise required by law
• Provisions that by their nature should survive termination (including intellectual property, disclaimer, and limitation of liability) remain in effect

13. White-Label and Partner Terms

Partner clients are subject to the terms of their individual partnership agreement, which may modify or supplement these Terms. In case of conflict, the partnership agreement governs for Partner-specific terms.

14. Governing Law

These Terms are governed by the laws of the State of Rhode Island, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Rhode Island.

15. Changes to These Terms

We may modify these Terms at any time. We will notify users of significant changes by posting the updated Terms on this page and, where appropriate, by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
